1. Agreement to Terms

By accessing or using SubStop ("Service"), operated by NP Global Technologies, Inc. ("Company," "we," "us," or "our"), a Florida corporation, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Description of Service

SubStop is a subscription management platform that helps users track, manage, and receive reminders about their recurring subscriptions. The Service includes:

  • Manual subscription tracking and management
  • Email and SMS reminder notifications
  • Optional AI-powered bank statement scanning (for paid plans)
  • Spending analytics and insights

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. Subscription Plans and Payment

SubStop offers free and paid subscription plans. For paid plans:

  • Payment is processed securely through Stripe
  • Subscriptions automatically renew unless cancelled before the renewal date
  • You may cancel your subscription at any time through your account settings
  • Refunds are handled on a case-by-case basis at our discretion
  • We reserve the right to modify pricing with 30 days' notice

Free trial periods, when offered, allow you to try paid features at no cost. Your payment method will be charged at the end of the trial unless you cancel beforehand.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Resell, redistribute, or sublicense the Service
  • Upload fraudulent or misleading financial documents

6. SMS Text Messaging Terms

If you opt-in to receive SMS text message reminders from SubStop, you agree to the following:

6.1 Consent

By providing your phone number and completing phone verification in your account settings, you expressly consent to receive automated SMS text messages from SubStop regarding your subscription renewal reminders. This consent is not a condition of purchase.

6.2 Message Frequency

Message frequency varies based on your reminder preferences. You may receive up to 4 messages per subscription per month (reminders at 7, 5, 3, and 1 day before renewal, depending on your settings). The exact number depends on how many subscriptions you track and your chosen reminder schedule.

6.3 Message and Data Rates

Message and data rates may apply. Your carrier's standard messaging rates apply to any messages you receive from us. Check with your mobile carrier for details on your messaging plan.

6.4 Opting Out

You can opt-out of SMS messages at any time by:

6.6 Supported Carriers

SMS messages are supported by most major U.S. carriers including AT&T, Verizon, T-Mobile, Sprint, and others. Carriers are not liable for delayed or undelivered messages.

7. AI Statement Scanning

Our optional AI-powered bank statement scanning feature is designed with privacy in mind:

  • Uploaded documents are processed solely to extract subscription information
  • Files are automatically deleted from our servers after processing
  • We do not store, sell, or share your financial document data
  • You are responsible for ensuring you have the right to upload any documents

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

SubStop is a tracking and reminder tool only. We do not cancel subscriptions on your behalf, and we are not responsible for any charges you may incur from third-party services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NP GLOBAL TECHNOLOGIES, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless NP Global Technologies, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. You may also delete your account at any time through the account settings.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Florida.
